STANDARD TERMS AND CONDITIONS OF SALE:
 NIA NEXA CBO

These terms and conditions govern the sale of products ("Syndemic Resilience Wear," "Resilience Bands," "Awareness Bands," etc.) via the NiaNexa CBO e-commerce platform, which operates as a fundraising mechanism to support the Organization's integrated health and livelihood programs in Kajiado County, Kenya.

1. Waiver and Applicability

The client explicitly waives its own standard terms and conditions of purchase. In order to be valid, any derogation from these terms and conditions must be expressly agreed to in advance and in writing by the NiaNexa Executive Committee.

2. Payment and Late Payment

Our invoices are payable within twenty-one (21) working days from the date of issuance, unless another payment timeframe is clearly indicated on the invoice or the order confirmation.

  • In the event of non-payment by the due date, NiaNexa CBO reserves the right to request a fixed interest payment amounting to ten percent (10%) of the sum remaining due.

  • NiaNexa CBO will be authorized to suspend any future provision of services or shipment of goods without prior warning in the event of late payment.

  • If a payment is still outstanding more than sixty (60) days after the due payment date, NiaNexa CBO reserves the right to engage the services of a debt recovery company. All resulting legal expenses will be payable by the client.

3. International Withholding Tax

Certain countries may apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to their local tax authorities. Under no circumstances can NiaNexa CBO become involved in costs related to a country's internal legislation. The amount of the invoice will therefore be due to NiaNexa CBO in its entirety and does not include any costs relating to the legislation of the country in which the client is located.

4. Obligations and Limitation of Liability

NiaNexa CBO undertakes to do its best to supply quality goods and services in due time and in accordance with the agreed terms. However, none of its obligations can be considered as being an obligation to achieve results regarding delivery times, given reliance on third-party shipping/logistics providers.

NiaNexa CBO cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

5. Claims and Notifications

In order for it to be admissible, NiaNexa CBO must be notified of any claim concerning the goods or services by means of a letter sent by recorded delivery to its registered office within eight (8) days of the delivery of the goods or the provision of the services. The registered address is:

6. Governing Law and Jurisdiction

All our contractual relations, including these standard terms and conditions of sale, will be governed exclusively by Kenya law. Any dispute arising from these terms shall be settled in the competent courts of Kajiado County, Kenya.
